These Terms and Conditions ("Terms") govern your access to and use of our website (leadlocktek.com), our software, tools, multi-tenant databases, API integrations, and any automated lead generation or back-office administration services we provide (collectively, the "Services").

By signing up for an account, purchasing a subscription, or using our Services, you ("Client," "User," or "you") agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Services Provided

Lead Lock Tek provides automated technology tools tailored for trade professionals and service businesses. Our core services include, but are not limited to:

• The Lead Lock Safety Net: Automated missed-call text-backs, interactive IVR call capture, and spreadsheet logging.
• AI Receptionist: 24/7 AI conversational voice assistants, automatic call recording, transcriptions, and calendar integrations.
• The Social Sales Agent: 24/7 AI-driven qualification, direct message (DM) follow-ups, and calendar booking via Instagram, Facebook, and WhatsApp.

2. TCPA & Telecommunications Compliance

Our platform facilitates automated text messages (SMS) and artificial intelligence voice calls. As the Client, you are solely responsible for ensuring that your use of the Services complies with all applicable local, state, and federal laws, including the Telephone Consumer Protection Act (TCPA) and the rules of the Federal Communications Commission (FCC).

• Consent: You represent and warrant that you have obtained the required explicit consent from your customers prior to utilizing our tools to send automated text messages or AI-generated calls to their phone numbers.
• 10DLC Registration: You agree to provide accurate business information for required carrier 10DLC (10-Digit Long Code) campaign registrations to ensure message deliverability.
• Call Recording: If you utilize our call-recording features, you acknowledge that you are responsible for adhering to one-party or two-party consent laws regarding call recording in your applicable jurisdiction. Our software automatically plays a legal disclosure when answering, but final compliance rests with the Client.

3. Account Registration and Billing

Subscriptions are billed on a recurring monthly basis. You must provide a valid payment method. By providing payment information, you authorize us to charge the applicable subscription fees automatically.

Because we offer a 14-Day Free Trial, no refunds are provided for partial months of service. You may cancel your subscription at any time, and you will not be billed for subsequent months.

4. Limitation of Liability for AI Outputs

The Services utilize generative Artificial Intelligence (AI) to interact with your customers. While we deploy strict safety rails and limitations, AI technology may occasionally generate inaccurate, unpredictable, or unintended responses ("hallucinations").

Lead Lock Tek is not responsible or liable for any lost jobs, misquoted pricing, or customer dissatisfaction arising from AI-generated outputs. You accept the inherent risks of deploying AI agents to represent your business.

5. Limitation of Damages

To the maximum extent permitted by law, Lead Lock Tek shall not be liable for any indirect, incidental, special, exemplary, or consequential damages, including but not limited to lost profits, lost revenue, lost leads, carrier compliance fines, or legal penalties resulting from your use of automated dialing, recording, or texting tools.

6. Indemnification

You agree to defend, indemnify, and hold harmless Lead Lock Tek against any claims, losses, lawsuits, compliance fines (including TCPA or mobile carrier penalties), or expenses arising out of your breach of these Terms, non-compliant call recording habits, or failure to secure proper consumer consent for automated messages.

7. Governing Law and Severability

These Terms shall be governed by and construed in accordance with the laws of the State in which Lead Lock Tek is legally registered, without regard to conflict of law principles. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

8. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will notify you of any major material updates by posting the updated text to leadlocktek.com or emailing your registered account address. Your continued use of the platform after updates constitute acceptance of the new Terms.

9. Social Sales Agent Subscription Agreement

By purchasing a subscription to The Social Sales Agent™, you ("Client") agree to the following terms with Lead Lock Tek ("Company"):

• Subscription & Recurring Billing: Your subscription is billed in advance on a recurring monthly basis. Your payment method on file will be automatically charged each billing cycle. You may cancel your subscription at any time via your account billing portal or by emailing admin@leadlocktek.com prior to your renewal date. Unless an explicit trial window or money-back guarantee is stated at checkout, fees for active billing cycles are non-refundable.
• Included Usage & Platform Credits: Your monthly subscription includes platform access and a designated monthly allowance of AI action credits. Included monthly credits do not roll over between billing cycles. Additional credit top-ups or third-party infrastructure fees (such as dedicated proxies or carrier message fees) are billed as incurred or configured in your account.
• Service Delivery & Onboarding: Access to the service begins upon checkout. Activation requires you to complete our onboarding questionnaire and connect your relevant social messaging channels (e.g., Meta/Facebook, Instagram, WhatsApp). You are responsible for providing accurate business information, FAQs, and pricing data to train your agent.
• Third-Party Platform Rules & Messaging Compliance: You acknowledge that the service connects to third-party messaging platforms (including Meta, Instagram, and WhatsApp). You agree to comply with all applicable terms of service, acceptable use policies, and anti-spam laws (including TCPA and CAN-SPAM where applicable). Lead Lock Tek is not responsible for any account restrictions, rate limits, or message deliverability blocks imposed by third-party platforms or telecom carriers.
• AI Outputs & Limitation of Liability: The Social Sales Agent uses automated conversational artificial intelligence to communicate with leads and schedule appointments. While designed to qualify prospects accurately, Lead Lock Tek does not warrant that AI communications will be error-free or that specific revenue/booking outcomes will be achieved. To the maximum extent permitted by law, Lead Lock Tek shall not be liable for any lost profits, lost leads, or indirect damages arising out of automated messaging. You agree to indemnify and hold Lead Lock Tek harmless from any third-party claims arising from your use of the automation tools.
